By using Too Much Tech (Pharix B.V.) services, you agree to comply with and be bound by the following terms and conditions. Please read these terms carefully before using our services.

 

Services

Too Much Tech (Pharix B.V.) provides management consultancy services, including but not limited to strategic planning, project management, and business analysis.

 

Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

 

Changes to Terms

We reserve the right to update or modify these Terms and Conditions at any time without prior notice. Your continued use of our services after any changes signifies your acceptance of the new terms.

 

Use of Services

You agree to use our services only for lawful purposes and in accordance with these terms. You must not use our services:

 

• In any way that violates any applicable local, national, or international law or regulation.

• For fraudulent or malicious purposes.

• To transmit any unsolicited or unauthorized advertising or promotional material.

 

User Responsibilities

Clients are responsible for:

 

• Providing accurate and complete information as requested by Too Much Tech (Pharix B.V.) to facilitate the delivery of services.

• Cooperating with Too Much Tech (Pharix B.V.) in a timely and efficient manner.

• Maintaining the confidentiality of any login information and passwords related to our services.

• Using our services in a manner consistent with all applicable laws and regulations.

• Promptly paying all agreed-upon fees and charges for services rendered.

 

Payments

 

All courses and workshops offered by Too Much Tech (Pharix B.V.) are prepaid. Payment must be received in full at the time of registration to secure your place.

 

Fees for consultancy services are agreed upon on a per-deal basis and will be detailed in a separate contract.

Invoices for consultancy services are due upon receipt unless otherwise agreed in writing.

Late payments may incur interest charges as stipulated in the specific contract.

 

Cancellations and Refunds

Courses and Workshops: Cancellations made more than 30 days before the start date of the course or workshop will receive a full refund. Cancellations made between 14 and 30 days before the start date will receive a 50% refund. No refunds will be given for cancellations made within 14 days of the start date.

 

Cancellations or changes to consultancy services must be made in writing and are subject to the terms agreed upon in the service contract. Fees for services already rendered are non-refundable.

 

Data Protection and Privacy

We are committed to protecting your personal data. For detailed information on how we handle and protect your personal information, please refer to our Privacy Policy.

 

Intellectual Property Rights

All content provided in our courses, workshops, and consultancy services, including but not limited to text, graphics, logos, and software, is the intellectual property of Too Much Tech (Pharix B.V.) or its licensors. We retain ownership of all materials created during the engagement and may reuse them for other clients. Clients may not distribute our work without our express written permission.

 

Termination of Services

Specific rules regarding cancellation and refunds of workshops and courses are detailed above.

 

Conditions for termination of consultancy services will be set forth in individual agreements. Notice periods and any penalties for termination will be outlined in the specific service contracts.

 

Dispute Resolution

These Terms and Conditions are governed by Dutch law. Any disputes arising from or relating to these terms shall be settled in the court with jurisdiction in Eindhoven.

 

Indemnification

You agree to indemnify, defend, and hold harmless Too Much Tech (Pharix B.V.) and its affiliates, employees, contractors, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms and Conditions, or your violation of any rights of another.

 

Non-Solicitation

Clients agree not to solicit or hire any employees or contractors of Too Much Tech (Pharix B.V.) during the term of the engagement and for a period of 12 months thereafter without our prior written consent. We will charge you €2.500 for every attempt to hire a person covered by this non-solicitation clause and one time their annual gross income + 25% if you successfully hire a person covered by this clause.

 

Compliance with Laws

Both parties agree to comply with all applicable local, national, and international laws and regulations in connection with the performance of these Terms and Conditions.

 

Force Majeure

Too Much Tech (Pharix B.V.) shall not be liable for any failure to perform its obligations under these Terms and Conditions if such failure is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, or other force majeure events.

 

Warranties and Disclaimers

Too Much Tech (Pharix B.V.) provides its services "as is" and without any warranties of any kind, either express or implied, to the fullest extent permissible under applicable law. Our liability is limited to the maximum amount covered by our insurance policy at any time.

 

Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

 

Assignment

Clients may not assign their rights or obligations under these Terms and Conditions without our prior written consent. We may assign our rights or obligations to subcontractors or other third parties.

Headings are provided for convenience only and do not affect the interpretation of these Terms and Conditions.
